Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and SIA SEO (“SIA,” “we,” “us,” or “our”) and govern your access to and use of the SIA SEO platform, websites, APIs, and related services (the “Service”).

By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization. If you do not agree to these Terms, do not use the Service.

01Accounts and Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You agree to provide accurate, complete, and current information when creating your account and to keep that information up to date.

02Subscriptions and Billing

Paid plans are billed in advance on a recurring basis (monthly or annually) through the payment method on file. Fees are non-refundable except as required by law or expressly stated in these Terms. You authorize us and our payment processor to charge applicable fees, taxes, and any overage usage to your payment method.

You may cancel a paid plan at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until then. We may modify pricing on at least 30 days’ notice; updated pricing will apply to subsequent billing cycles.

03Your Content

You retain ownership of the content you submit, generate, or store using the Service (“Customer Content”). You grant SIA a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content solely as necessary to provide and improve the Service for you.

You are responsible for the accuracy, legality, and appropriateness of Customer Content. You represent that you have all rights necessary to grant the license above and that your Customer Content does not infringe any third-party rights.

04AI-Generated Output

The Service uses generative AI to assist with content creation, optimization, and publishing. AI output may be inaccurate, biased, or reflect limitations of the underlying models. You are responsible for reviewing, fact-checking, and editing AI-generated content before publishing or relying on it.

Subject to your compliance with these Terms, SIA assigns to you all of its rights, title, and interest in the AI-generated content produced for your account, to the extent SIA holds such rights. Some output may not be protectable by copyright in your jurisdiction.

05Acceptable Use

You agree not to:

  • Violate any law, regulation, or third-party right.
  • Reverse engineer, decompile, or attempt to extract source code from the Service.
  • Use the Service to generate spam, harassment, hateful content, sexual content involving minors, or content that promotes violence.
  • Attempt to bypass usage limits, rate limits, or security controls.
  • Use the Service to build a competing product or to train competing models.
  • Resell, sublicense, or transfer access to the Service without our prior written consent.
  • Upload malware, conduct denial-of-service attacks, or otherwise interfere with the Service.

We may suspend or terminate access to enforce these restrictions or to protect the Service or its users.

06Third-Party Services and Integrations

The Service may interoperate with third-party services (for example, content management systems, search engines, analytics providers, and AI providers). Your use of those services is subject to their own terms and privacy policies. SIA is not responsible for third-party services and does not endorse them.

07Our Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by SIA or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. All rights not expressly granted are reserved.

08Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

09Suspension and Termination

We may suspend or terminate your access to the Service at any time if you breach these Terms, pose a security risk, or fail to pay fees when due. You may stop using the Service at any time. Upon termination, your right to access the Service ends; sections that by their nature should survive (for example, ownership, disclaimers, liability, indemnification, dispute resolution) will survive.

10Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

12Indemnification

You agree to defend, indemnify, and hold harmless SIA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Service, or your breach of these Terms.

13Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which SIA is established, without regard to conflict-of-laws rules. The parties agree to resolve disputes in the courts located in that jurisdiction, except where applicable law requires otherwise. Nothing in these Terms limits any non-waivable rights you have as a consumer.

14Changes to These Terms

We may update these Terms from time to time. When we make material changes we will post the revised version with a new “Last updated” date and, where appropriate, notify you through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
